General Counsel at ElaCarte

This person will advise the company on a wide range of matters including commercial transactions, regulatory, and corporate matters, with a focus on our services and tech enabled platform. Success in this position will require a versatile background as our company touches many different business areas.

Responsibilities

Review, draft and negotiate a wide variety of agreements from commercial contracts to employee agreements

Advise and assist with corporate, benefits, insurance, privacy, intellectual property, litigation, and other legal matters as required.

Stay on top of changing regulations, laws and industry standards and effectively work with a variety of business stakeholders to develop and implement practices and standards that support innovation and growth

Develop and scale legal operations and compliance initiatives to ensure effective execution in a high growth environment

Structuring, drafting, reviewing, and negotiating a variety of commercial agreements, including sales, partnership, and inbound agreements.

Counseling on privacy, data protection, and compliance (including PCI) issues;

Managing the development of the company’s intellectual property portfolio;

Designing and building processes to facilitate legal support of the company’s operational teams;

Building out the commercial legal team over time.

Manage outside counsel on related matters when required.

Minimum Qualifications:

Juris Doctor Degree, with license to practice law in one or more U.S. jurisdictions.

Experience with a software company including experience with licensing and/or services sales agreements.

An excellent negotiator who knows how to keep complex legal negotiations simple and clear

3-6 years of high-level, relevant experience practicing with a law firm or in-house legal department.

Highly skilled with negotiating and drafting a wide variety of contracts with minimal supervision.

Preferred Qualifications:

8-12+ years of experience practicing law in the technology space, including at least 2 years as an in-house attorney;

Ability to self-start, meet deadlines, prioritize, manage multiple projects simultaneously, and work well with change in a fast-paced environment.

Strong interpersonal skills

Experience at a SaaS, cloud computing or enterprise software company;

Experience advising product development, sales, and operational teams on issues related to cloud software, including contracts, privacy, data security, intellectual property, and marketing;

Impeccable legal and business judgment and an ability to quickly risk-assess and prioritize;

Excellent presence and proven ability to influence at all levels;

An ability to communicate complex issues, both written and oral, with ease;

A collaborative approach with no ego in a fast-paced, team-oriented environment;

Strategic sense to build a team, but tactical enough to execute on a day-to-day basis;

A JD, admission to the California Bar, and an excellent academic record. Local candidates only (Northern California).
